1. Platform Overview

Zaphon is an invite-only platform that connects curated investment opportunities with qualified investors. Access is granted solely at the discretion of the platform administrator. The platform facilitates introductions between deal sponsors and investors — it does not act as a broker-dealer, investment adviser, or fiduciary.

2. Eligibility & Access

By accepting an invitation and accessing the platform, you represent and warrant that you are an accredited investor (as defined by applicable securities law in your jurisdiction), or equivalent classification, and that you have sufficient knowledge and experience in financial and business matters to evaluate the merits and risks of prospective investments.

Access is non-transferable. You may not share login credentials, invitation links, or any deal materials with third parties without explicit written consent from the platform administrator.

3. No Investment Advice

Nothing on this platform constitutes investment advice, financial advice, trading advice, or any other sort of advice. You should not treat any of the platform's content as such. The platform does not recommend that any investment be bought, sold, or held by you. Do conduct your own due diligence and consult your financial advisor before making any investment decisions.

4. Confidentiality

All deal information, materials, documents, and communications shared through this platform are strictly confidential. You agree not to disclose, reproduce, distribute, or use any such information for any purpose other than evaluating the specific investment opportunity presented to you.

Violation of this confidentiality obligation may result in immediate termination of access and potential legal action.

5. Investment Process

Expressing interest through the platform does not constitute a binding commitment. Formal investment terms, subscription agreements, and closing procedures are handled outside the platform between parties and their respective legal counsel. The platform facilitates introductions only.

6. Risk Disclosure

All investments carry risk. Investments in early-stage companies and private placements are speculative, illiquid, and involve a high degree of risk including the possible loss of your entire investment. Past performance is not indicative of future results. You should only invest capital you can afford to lose entirely.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Zaphon and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the platform.

8. Termination

We may terminate or suspend your access at any time, with or without cause, with or without notice. Upon termination, your right to use the platform ceases immediately. Confidentiality obligations survive termination indefinitely.

9. Governing Law

These terms shall be governed by and construed in accordance with applicable law. Any disputes arising from these terms or your use of the platform shall be resolved through binding arbitration.
